– Substance, i.e. the physical presence of a director or shareholder,
– and the presence of a business purpose, i.e. the business’s connection to the US and the presence of local counterparties.
At the same time, it is quite difficult to open a bank account for a US company in another jurisdiction. The difficulty lies in the fact that banks have obligations to the US to submit voluminous reports for each US tax resident.
